Terms of Service
These Terms of Service (“Terms”) are an agreement between you and OrashCat LLC, a New Mexico limited liability company (“EveryHello,” “we,” “us,” or “our”). By creating an account, accepting an order, or using EveryHello, you agree to these Terms. If you use EveryHello for an organization, you represent that you are authorized to bind that organization.
1. The service
EveryHello is an AI customer communication service that can handle customer interactions through supported channels, including phone Voice, SMS, text-only Web Chat, and Feedback. Features may include a provisioned US business number, appointment booking, a shared inbox, customer context, team handoff, channel management, knowledge sources, and integrations.
AI-generated responses may be incomplete, inaccurate, or unsuitable for a particular situation. You are responsible for configuring, monitoring, and reviewing the service and for deciding when a person must take over. EveryHello is not an emergency service and must not be used to contact 911 or any other emergency provider.
2. Accounts and authorized users
You must be at least 18 years old and able to enter a binding contract. Account information must be accurate and current. You are responsible for your credentials, authorized users, account activity, and promptly notifying us of suspected unauthorized access.
3. Your responsibilities
You are responsible for:
- the content, knowledge, instructions, contact lists, and data you provide;
- having all rights, notices, permissions, and consents needed to process customer data, place or receive calls, record or transcribe calls, and send messages;
- honoring opt-outs and complying with applicable privacy, consumer-protection, telemarketing, call-recording, and messaging laws;
- providing accurate business, messaging-use-case, opt-in, and registration information required by carriers, registries, or other providers;
- using provisioned numbers only for the approved business and registered messaging purpose;
- reviewing sensitive or high-impact communications before relying on them.
You may not use EveryHello for unlawful, deceptive, harassing, discriminatory, fraudulent, or unsolicited communications; to impersonate another person; to interfere with the service; or to infringe anyone’s rights.
4. Regulated and sensitive data
EveryHello is not currently offered as a HIPAA-compliant service, and we do not enter into Business Associate Agreements. You must not use EveryHello to create, receive, maintain, or transmit protected health information. You must also avoid submitting payment-card data, government identification numbers, account credentials, or other highly sensitive information unless a feature expressly supports it.
5. Plans, usage, and payment
Starter and Pro renew monthly until canceled. Fees are quoted and charged in US dollars unless an order says otherwise. Included usage resets each monthly billing period and does not roll over. SMS usage is measured in carrier segments, which may differ from the number of message bubbles a customer sees. Voice usage is measured from connected call time under the method displayed in Billing.
7-day trial. Card required. Start with website chat for $0 today, or activate a US number for $15 credited to your first paid invoice.
A payment method is required for the seven-day trial. A website-first trial begins immediately and costs $0 at signup. A phone-first trial begins when EveryHello marks phone service ready. Unless you cancel before the trial ends, you authorize Stripe to charge the selected monthly plan when the trial converts.
Phone-first onboarding charges a $15 activation credit before we incur carrier and registration costs. When the first paid plan invoice is successfully issued, we apply that amount as a credit. If EveryHello cannot complete activation for reasons not caused by inaccurate information, ineligibility, prohibited use, or failure to respond to a request for information, we will refund the activation credit. The credit otherwise has no cash value and is not transferable.
Included automation pauses at the plan limits. EveryHello does not charge automatic overage fees.
Taxes are added when required. You authorize our payment processor to charge the payment method on file. We pause customer-facing services when no active trial or subscription exists and may pause them after failed or overdue payment. The workspace may remain available in read-only mode. Unless required by law or stated in an order, paid fees are nonrefundable. You can cancel before renewal; paid access continues through the current paid period. Stripe displays any proration and payment details before you confirm a plan change.
6. Channels and third-party services
Phone carriers, messaging networks, number registries, AI providers, booking systems, and other integrations are operated in part by third parties. Number inventory, activation, registration, deliverability, call quality, throughput, and geographic coverage may depend on those providers and local rules. We do not guarantee a specific number, area code, approval date, message delivery, call completion, channel route, integration, or third-party service.
A number provided through EveryHello is made available for use with the service while the applicable access and provider requirements remain satisfied. When access ends, customer traffic pauses and we may release or deactivate provider resources under our retention process. Restoring service may require a different number or new registration. Any request to transfer a number is subject to eligibility, verification, provider rules, outstanding balances, and applicable law.
Web Chat is text-only and does not provide browser-based Voice. Optional or beta channels are not part of the launch commitment unless they are expressly shown as active in your workspace or written order.
7. Customer data and privacy
As between you and EveryHello, you retain your rights in customer data. You grant us a limited right to host, process, transmit, and display that data as needed to provide, secure, support, and improve the service. Our Privacy Policy explains how we handle personal information.
8. Intellectual property and feedback
EveryHello and its software, interfaces, branding, and documentation belong to us and our licensors. Subject to these Terms, we grant you a limited, nonexclusive, nontransferable right to use the service during your subscription. If you provide feedback, we may use it without restriction or obligation.
9. Suspension and termination
We may suspend or restrict access when reasonably necessary to protect the service, comply with law or provider requirements, address nonpayment, or respond to a material breach. Either party may terminate as allowed by an order or these Terms. Provisions that by their nature should survive will remain in effect.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, ERROR-FREE AI OUTPUTS, MESSAGE DELIVERY, APPOINTMENTS, REVENUE, COST SAVINGS, OR ANY OTHER BUSINESS RESULT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA. OUR AGGREGATE LIABILITY ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO EVERYHELLO DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply where they are prohibited by law.
12. Indemnification
You will defend and indemnify EveryHello from third-party claims arising from your data, your communications, your violation of law or third-party rules, or your breach of these Terms, except to the extent caused by EveryHello’s own conduct.
13. Changes
We may update the service and these Terms. For material changes, we will provide reasonable notice through the service, by email, or on this page. Changes apply prospectively from their stated effective date.
14. Governing law
New Mexico law governs these Terms, without regard to conflict-of-law principles. The state and federal courts located in New Mexico will have exclusive jurisdiction, except where applicable law requires another forum.
